영문 계약서 분석

 

 

 

 

 

□ Representations and Warranties (진술 및 보증)

계약 당사자가 계약을 체결함에 있어서 상대방에게 계약 체결 주체로서 유자격, 적격성, 계약 체결의 유효성 등을 보증하는 조항이다.

"A" and "B" hereby represent and warrant respectively each other that each party is a corportation duly organized and validly existing under the laws of the jurisdiction in which it is incorporated.

 

 

 

 

 

□ Dispute Settlement (분쟁해결 방법)

계약당사자간 우호적으로 해결되지 않는 분쟁에 대해 규정하는 조항이다.

Any or the diputes, controversies or differences which many arise between the parties in relation to this Agreement shall be finally settled by way of arbitration to be held in Seoul, Korea, pursuant to rules of arbitration of Korea Chamber Commerce and Industry. 
In the event disputes do arise in connection with this Agreement which can not be amicably settled between the parties, such disputes shall be fianlly settled under the rules of conciliation and arbitration of the international chambers of commerce by three arbitrators appointed in accordance with its rules. The place of arbitration shall be London, England and the language to be employed shall be English.

 

 

 

 

 

□ Interpretation (계약해석의 우선순위)

계약이 2개 이상의 언어로 작성 및 번역의 경우, 또는 동일 사례에 대하여 두 개 이상 관련 조항(혹은 문서)에 기술되어 있는 경우 그 해석 및 적용의 우선순위를 규정한다.

This Agreement has been written in English. This Agreement may be translated into other language, but if there arises any conflict between the English original and any other translation, the English original shall prevail over any other translation. In case any provisions contained respectively in the Special Conditions and the General Conditions are discrepant each other, the provisions in the Special Conditions shall take precedence over those in the General Conditions.

 

 

 

 

□ Confidentiality (기밀준수 의무)

계약당사자간 계약의 특정 내용 또는 계약 자체를 기밀로 취급하는 내용을 담는 조항이다. 

During the term of this Agreement, or thereafter, A shall not disclose, give or sell to any person, firm or corporation whatsoever any information which A receives directly or indirectly from B or that A acquires or develops in the course of, or incident to, its performance of this Agreement(including but not limited to, prices, discounts, terms and conditions of sale, customers, business affairs, products) except such information as has been publicly disclosed by the authorized officers of B.

Any employee of A shall not disclose to any third party any of trade secrets or manufacturing process of the products of A which have been learned or obtained in the course of performance of his duties in A. This clause shall survive the termination of his employment agreement.

Each of the parties hereto shall keep the existence and contents of this Agreement confidential and shall not reveal its existence or any content hereof to any third party except for the purpose of the transactions contemplated by this Agreement.

 

 

 

 

 

□ Severability (계약조항의 개별성)

일부 계약조항 중에는 계약체결 후 상대방 국가 법률과의 상충 또는 기타 사정으로 인하여 시행이 불가하게 되는 계약조항이 있을 수 있다. 이런 경우 해당 조항이 없던 것으로 간주한다든지 또는 그 조항이 다른 계약규정의 시행에는 아무런 영향을 미치지 않는다든지 하는 규정을 두게 된다.(Individuality, severance)

In the event that any term or provision, or part of this Agreement shall be held to be illegal or unenforceable, such term or provision, or part thereof, shall be deemed(to have been) severed from this Agreement, and the remaining terms and provisions shall remain in full force and effect; provided that if any provision for payment shall be held invalid or unenforceable, this Agreement may be terminated at the discretion of B.
