□ Forehead (계약 체결일자, 당사자)

영미법상 계약체결일자가 표시되어 있지 아니한 계약은 계약으로서의 효력을 인정받을 수가 없다.
원칙적으로 계약서 앞부분에 계약일자를 표기해서 법적 근거를 확보하자.

□ Witnesseth, Recital, Preamble, Preface (계약 체결 배경, 약인 사항)

계약을 체결하는 배경에 대해 간략히 기술하는 부분. 당연한 부분이지만 계약서 내에 포함시켜 작성하는 것이 원칙이다.

The Licernsor is the owner of all the right, title and interest in the certain trademarks for the sports wears over the world. The Lincensee desires to use the Licensed Marks in connection with the manufacture and sale of the sports wears in Korea. The Licensor is willing to grant the Licensee the right to use the Licensed Marks upon the terms and conditions of this Agreement. Noew, therefore, intending to be legally bound each other, the parties agree as follows;

 

 

 

 

 

□ Definitions (용어의 정의)

중의적이거나 여러 의미로 해석이 가능한 용어들은 사전에 정의를 해두어 추후 분쟁이나 오해의 소지를 예방해야 한다.

Definitions of the terms used in this Agreeement, unless the context otherwise requires, shall have the meaning set forth as follows; The date of payment herein shall mean the day of paying back(=returning) to the Lessee of the security money upon expiry or termination of this Agreement.

 

 

 

 

 

□ Rights and Obligations of the Partise (당사자의 권리 및 의무)

계약서에서 가장 중요한 부분(핵심)이라고 할 수 있음. 통상 상거래 계약에서 소위 甲(topdog)과 乙(underdog)의 관계가 형성될 수 있어, 이 경우 乙은 자신의 권리를 당당하게 주장하지 못하고 원칙적인 계약 문구만을 열거하고 계약을 체결하는 경우가 있음. 이는 대단히 위험한 약정이 될 수 있음으로 "자구책 마련"이나 "甲이 의무를 하지 않는 경우"에 대한 대비책을 해당 항목에 포함하여야 한다.

No response as to approval of the samples within 15 days as mentioned above shall be deemed that such samples have been duly approved by "A" as of the 15th date of dispatch and the starting date for approval of the samples shall be defined as the date on which such samples have been delivered.

 

 

 

 

 

□ Entering into force and term (계약의 발효 및 유효기간)

일정한 조건을 전제로 한 계약이나 계약의 유효기간을 두어 계약 체결의 목적이 달성된 후에는 계약이 무효가 되거나 종료되도록 하는 내용을 담는다.

This Agreement shall continue in effect until terminated pursuant to  (in accordance with) the relevant provisions of this Agreement or by a mutual agreement of the parties hereto. If termination shall not be notified to either party at least three months prior to expiry hereof, this Agreement shall be automatically extended for additional five years with all the terms and conditions hereof remaining unchanged.
