영문 계약서 분석
□ Conditions Precedent (계약발효 선행조건)
계약을 체결했다 하여도 특정 조건이 충족되는 경우에 한하여 체결한 계약이 발효된다는 조항이 있는 경우가 많다. 일정기간 내에 특정한 조건이 충족되지 않으면 계약을 발효시킬 수 없다는 사항을 규정하는 조항이다.
The obligations of the A under this Agreement shall be subject to the conditions that this Agreement shall be approved by the competent authorities of Korean government in the form and substance(형식과 내용) accpetable to both parties hereof.
The obligations of the parties hereunder shall be legally binding upon each party only in case the following conditions shall be fully met;
(A) No any investigation, legal action or proceeding is or shall be instituted or threatened to institue against each party by other third party to restrain or challenge the transactions contemplated hereby(본 계약서에서 계획하고 있는 거래).
□ Conditions Subsequent (계약발효 후행조건)
계약발효 후행 조건은 우리나라 민법의 해제조건과 비슷한 조건이다. 즉 계약 체결 후 특정의 사유가 발생할 경우 계약 자체가 무효가 된다든지 특정의 의무를 부담하지 아니한다든지 하는 조건을 말한다.
In case the Apartment shall be left unoccupied for the duration longer than six months, this Agreement may be forthwith terminated by the Lessor by giving a termination notice to the Lessee.
If the approval required for enforcement of this Agreement shall not be obtained from the competent government authorities within six months hereafter in the form and substance acceptable to the Licensor, this Agreement shall be automaticall rescinded(or revoked) as if this Agreement has never been originally executed therebetween.
□ Counterparts (계약문서의 원부 본)
계약서 작성 매수 및 계약서 원본의 소지자 등을 규정하는 조항이다.
This Agreement may be executed in any number of counterparts, each of which shall be deemed to be original, but all of which together shall constitue one and the same instrument.
In Witness Whereof, the parties hereof have caused this Agreement to be executed in duplicate for each party retaining one, this 31st day of December, 2022
□ Miscellaneous Matters (기타 사항)
Enumerated 되지 않은 계약 항목에 대한 사항이다.
The matters not mentioned in this Agreement or not agreed in detail by the parties shall be in accordance with the Uniform Customs and Practice for Documentary Credits, and the Uniform Rules for Collection, International Chamber of Commerce.
